The price for this tiny book made me crazy, but... in comparison to $260/hr for my attorney, the hours that this book saved me makes it an excellent return on investment.

For $90, I thought I would get a "Detailed" guide to drafting operating agreements "to Meet Your Clients' Needs," as the book is subtitled. The "book" is in fact just a single LLC operating agreement template (like those you can find online) with some added commentary on some of the clauses.It's an almost pocket-sized, 84-page booklet. It's listed at 148 pages because the single operating agreement is repeated twice in its entirety within the pages of the booklet - once with commentary, and once without as an "appendix" (this is purely to inflate the page count, since the agreement language is clearly distinguished from the accompanying commentary). If you're going to copy parts of the agreement, be careful because it contains misspellings and at least one instance where members are confused with managers.The brief commentary that the booklet does contain is helpful if you're writing an LLC operating agreement for the first time. On the other hand, the language of the agreement itself is bloated with redundant legalese: "Now, therefore, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged..." In other words, even in the off chance that this agreement precisely matches "your clients' needs," you've got to re-write much of it to expunge the mumbo-jumbo that lazy lawyers copy and paste from boilerplate contracts if you don't want your partners to roll their eyes when they read it.NOW, hereinunderthereafter and moreover in consideration of the aforementioned declarations, and in contravention of the foregoing claims, beliefs, representations, and assertions evidenced by the Interested Party's titling thereon, description, and review of his own booklet, and in effectuation of the furtherance of of the knowledge of those Parties who shall be engaged by or are themselves such Persons wishing to convenant a partnership agreement, the oversigned hereby truthfully and lawfully promulgates that the Fair Market Value of the publication referenced herein is a substantively lesser amount than the remuneration demanded by the aforementioned Interested Party and such Party's affiliates, agents, administrators, or assigns.
