Good overview for novices to understand topics and choices
Here is my view of this book, from the perspective of a novice who spent decades in a large public corporation, was a mid-level manager, retired and is considering the need to incorporate in some form to engage in small scale post-retirement design and innovation. What was good:• This is the 10th edition (2023) of this book, originally published in 2005 apparently. So, this is *not* some quickly written guide churned out. It has been reviewed and revised enough to contain reliable insights. The new edition brings it up to date.• Nolo is a recognized legal advice publisher, not some unknown print house.• The depth of topics discussion seems to be just about right for novices to understand the choices and tradeoffs of the different business legal structures, without getting down in the weeds. This should allow for strategy level thinking before getting into the nuts and bolts of how-to.• A good variety of small business structures are included in the discussion.• Part of the book provides info on converting from one structure to another. I expect this is particularly relevant when the business evolves in unanticipated ways.• A 25 page index is included, which is nice since some books have minimal index sections. So, what’s so-so or not good:• There were some sections where I wanted more depth. Such is the nature of an overview book, and readers will at least know what they need to research further.I will update this review if I develop different conclusions as I move along. This review is specifically for the 2023 version of “LLC or Corporation?: Choose the Right Form for Your Business” product.

Dry but informative read from a trusted source
NOLO has been known to provide do-it-yourself legal guidance for years. The author has an impressive (and verifiable) resume. There is a ton of information in here that is easily understood. It's kind of like one of those "[subject] for Dummies" books I grew up seeing. As a small business owner with a sole proprietorship, I found it to be useful to figure out when/if I should change my type of business and love that there is info on how to convert from one type to another. It's broken up into 3 parts, 10 different chapters (with several points to be made in each chapter, not listed below). Breakdown as follows:Part 1Chapter 1 - Business Entity BasicsChapter 2 - Personal Liability ConcernsChapter 3 - Forming and Running Your BusinessChapter 4 - Money Issues; Taxes, Profits, Losses, and InvestmentsChapter 5 - LLC or Corporation: Four Business StoriesPart 2Chapter 6 - Converting a Sole Proprietorship to Another EntityChapter 7 - Converting a Partnership to Another EntityChapter 8 - Converting an LLC to Another EntityChapter 9 - Converting, Dissolving, and Selling a CorporationPart 3Chapter 10 - Doing Business Out of StateAppendixState Website InfoIndex

A great resource for those looking to start a business
Item: LLC or Corporation?: Choose the Right Form for Your BusinessI have read several Nolo titles, and this is another excellent example of well-explained, clear, and concise information. This book provides helpful information about various ways to structure a business, as well as the tax implications, and can also point the reader in the right direction for further research. While it won't answer all your questions, it will give you a great overview of the topic and get you started.
